I, the undersigned, expressly acknowledge and agree that I am knowingly and voluntarily participating in the Event and Activities listed above and understand the requirements associated therewith. I understand that I will receive the above Consideration for this Release and the rights granted and waived. I acknowledge the above Event and Activities may involve inherent risks, such as allergic reactions, and I am voluntarily participating in the Event and Activities with full knowledge of the risks and knowingly and freely accept any and all risks, both known and unknown, of injury, property damage or death.
I authorize the photographing (“Recordings”) of me, and the right to use, publish, broadcast, reproduce, transmit, license (including, the right to sublicense) and allow sublicenses), exhibit, perform, disseminate and distribute (“Use”) my name, image, and likeness, (collectively, “Likeness”) in such Recordings and for Use all Materials (defined below) for all public relations purposes, marketing and advertising purposes by Unilever and Edelman (collectively “Licensees”) and the right to edit or alter such Materials and to Use such Materials (including my Likeness) (i) through March 31, 2016 including, but not limited to, re-post/re-Tweet, distribution to the media, Use for whitelisting, sponsored posts/Tweets, banner ads, quote cards, collages, and for Use in other material, content (collectively, the “Materials”); and (ii) in perpetuity for Use (xx) on Client’s website and social media channels, including, but not limited to, suave.com, Twitter, Facebook, Pinterest, Instagram, Vine, MeerKat, Periscope, Google, and (yy) for Non-Commercial Use which is defined as non-public corporate, archival, historical, or other internal purposes as well as for presentations and industry awards and publicity related thereto. I understand and agree that Use by third parties of any of the Materials already disseminated or distributed by Licensees in accordance with this release shall not constitute a breach by Agency or Client hereunder. I waive any claims for compensation other than the consideration set out herein for the Use of my Likeness as set out in this Release.
For good and valuable Consideration, I hereby expressly release and forever waive any and all claims, actions, causes of action, demands, rights, damages, costs, attorney’s fees, losses and expenses which I may have against Licensees and each of their respective parents, affiliates, assigns, subcontractors, licensees, successors-in-interest, and each of their respective employees, officers, directors, employees, representatives and agents (collectively, the “Licensee Indemnified Parties”) including, but not limited to: (i) for accident, personal injury, disability, death, property damage, or loss of any kind or nature suffered by me as a result of or arising from my participation the Event and in any Activities; and (ii) based upon the ownership of and/or Use of the Materials(s) or Use of my Likeness or any other rights granted to Licensees hereunder, including, but not limited to, any claims for damages for libel, defamation, infringement of the right of publicity, invasion of privacy, portrayal in a false light, false endorsement, public disclosure of private facts, copyright infringement or unfair competition.
I hereby waive the benefits of any statute or law that purports to limit the effect of this release, and waive the benefit of any provision of law known as “moral rights” or similar laws. I, understand that I shall have no right of approval, no claim to additional consideration or benefit, and no claim arising out of any blurring, distortion, alteration, optical illusion, or Use in composite form, whether or not intentional, of my Likeness, or images in the Materials including, but not limited to, the Recordings.
This agreement shall be governed and construed and enforced in accordance with the substantive laws of the State of New York without regard to its conflict of laws provisions. I hereby consent to jurisdiction and venue in the state and federal courts of the State of New York. I FOR MYSELF AND MINOR hereby waive, to the fullest extent permitted by law, any right to trial by jury in any action, suit, claim or proceeding brought to enforced, defend or interpret any rights or remedies arising hereunder, relating to, or in connection with this agreement. If any term or provision of this Agreement should be declared invalid by a court of competent jurisdiction, the remaining terms and provisions of this Agreement shall remain unimpaired and in full force and effect.
I warrant and represent that I am over the age of 18, or majority whichever is older, in my state of residence. I understand that this is a legal document, and acknowledge and agree that I have read this Release and am fully familiar with it and agree with its contents. I sign this document of my own free act and deed. The terms of this authorization are effective as of the date signed below and continue in perpetuity.
